1. Eligibility
To participate in the Program:
- You must be at least 18 years old.
- You must have a valid U.S. taxpayer identification number or international equivalent.
- UPNEX reserves the right to reject any applicant or terminate participation at its sole discretion.
2. Referral Links and Tracking
- Upon acceptance, you’ll receive a unique referral link to share.
- Referrals are tracked via cookies for a period of 60 days from the initial click. If a user clears cookies, uses another device, or clicks another affiliate’s link, attribution may be lost.
- You may not manipulate links or mislead users regarding your relationship with UPNEX.
- You will earn a [Insert % or flat rate, e.g., 20%] commission on each qualifying subscription sale referred via your link.
- A “qualifying sale” is a new customer who signs up via your link and remains a paid subscriber for at least 30 days.
- No commission will be earned on:
- Refunds or chargebacks
- Self-referrals
- Free trials that do not convert
- Payouts are made monthly, 30 days after the end of the month in which the sale was confirmed (net-30).
- Payments are made via [PayPal / ACH / other method].
- You are solely responsible for any taxes, fees, or reporting associated with your income.
5. Restrictions
You may not:
- Use spam, bots, or misleading advertising to drive traffic.
- Bid on UPNEX brand terms (e.g., "UPNEX", "UP HIGH", "upnex.com") in paid ads.
- Present yourself as an employee or agent of UPNEX.
- Share or advertise affiliate links in coupon sites or discount marketplaces without prior written approval.
6. Term & Termination
- This agreement begins upon acceptance and continues until terminated by either party.
- UPNEX may terminate your participation at any time for any reason, including suspected fraud or policy violations.
- Upon termination, you forfeit any unpaid commissions for unqualified or disputed referrals.
7. Modifications
UPNEX reserves the right to modify these Terms at any time. Continued participation after changes indicates acceptance.
8. Limitation of Liability
We are not liable for indirect, incidental, or special damages related to the Program. Our total liability is limited to the amount of commissions earned by you in the past six months.
9. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Arizona. Any dispute will be resolved via binding arbitration in Maricopa County, Arizona, and you waive any right to class actions.
10. Independent Contractor
Participation does not create any employment, joint venture, agency, or partnership relationship. You are responsible for your own operations, tax filings, and liabilities.
11. Confidentiality
You agree not to disclose any non-public information, commission rates, or internal communications shared with you as part of the Program.
